Terms of Service

1. Acceptance of Terms

By downloading, installing, or using SyteRay ("the Software"), you agree to be bound by these Terms of Service. SyteRay is developed and maintained by Netray ("we," "us," or "our"). If you do not agree to these terms, do not use the Software.

2. License Grant

Free Tier: We grant you a non-exclusive, non-transferable, royalty-free license to use SyteRay Free for any lawful purpose, including commercial use, with no time limitation. The Free tier includes all 150+ AI agents, the CLI, the Web UI, and support for local LLMs.

Pro and Enterprise Tiers: Pro and Enterprise licenses are governed by the applicable subscription agreement. These tiers include additional features such as cloud LLM integration, the Connector Service, and priority support.

3. Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the Software
• Remove or alter any proprietary notices or labels
• Redistribute or sublicense the Software as a standalone product
• Use the Software to develop a competing product

4. On-Premise Deployment

SyteRay is designed to run entirely on your infrastructure. You are responsible for providing and maintaining the hardware, operating system, database, and network environment required to run SyteRay. We do not access, monitor, or control your on-premise installation.

5. Beta Software Disclaimer

SyteRay is currently in beta. Beta software is provided "as is" and "as available" without warranty of any kind, express or implied. We do not guarantee that the Software will be uninterrupted, error-free, or free of harmful components. Use in production environments is at your own risk during the beta period.

6. Limitation of Liability

To the maximum extent permitted by law, Netray shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of SyteRay. Our total liability shall not exceed the amount you paid for the Software in the twelve months preceding the claim.

7. Data and Privacy

SyteRay does not collect or transmit data from on-premise installations. For information about data collection on our website and cloud services, see our Privacy Policy.

8. Third-Party Trademarks

Infor, SyteLine, and CloudSuite Industrial (CSI) are trademarks of Infor Inc. SyteRay is an independent product by Netray and is not affiliated with, endorsed by, or sponsored by Infor Inc. All other trademarks are the property of their respective owners.

9. Termination

We may terminate or suspend your access to SyteRay at any time for violation of these terms. Upon termination of a paid subscription, you retain the right to use the Free tier. You may stop using the Software at any time.

10. Changes to Terms

We may update these Terms of Service from time to time. Continued use of the Software after changes constitutes acceptance of the revised terms. Material changes will be communicated via email or through the Software.

11. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
